We seek a Legal Contracts Manager to support the Global Markets legal team by provision of counsel and business guidance to the legal and commercial team in UK/EMEA/APAC
Working with internal stakeholders negotiating complex customer and vendor contracts such as MSA’s SOW’s, supplier agreements, amendments and variations and contract templates. You will leverage your contract expertise with sound business acumen and knowledge and understanding of the business goals and objectives the company is facing and assisting in resolving business issues as part of internationally based legal group.
The ideal candidate will love contracts and drafting with a keen eye for detail with excellent technical contract knowledge. The ability to work both independently and as part of a team which is internationally based and often remote.
You will be highly organised and process driven with a sound working knowledge of legal contract management systems. Able to work on several matters at a time and often with competing deadlines is essential.
The ideal candidate will be friendly but fast paced, forward leaning and business orientated with the ability to enforce company risk guidelines when needed.
This role will permit the Company to round out the legal team in global markets with stakeholders often based throughout UK, EMEA, LATAM and APAC. This position works closely with the General Counsel-Global markets (based in Australia) and to the Legal Counsel for UK/Europe (based in London). The global markets team is a small supportive team which is part of a wider global team which is based in Milwaukee, United States.
Duties and Responsibilities
Knowledge and experience in automated contract management process in Salesforce an advantage (but not required);
Template review to look for efficiencies and improvements that will not only keep up with the changes in the law but also decrease time-to-signature;
Reviewing contract terms and conditions to balance risk appetite with commercial objectives;
Working on the preparation, submission and review of tenders;
Analysing both new and existing contracts with customers, suppliers and partners to ensure that content is commercially and legally sound and maximises commercial benefits to the business;
Obtaining approval for non-standard terms in accordance with agreed approval matrices;
Developing, delivering and maintaining effective commercial methods, processes and operational procedures to ensure contracts are managed in line with internal and external compliance standards including GDPR and other applicable laws;
Works independently and with peers in the business and the legal team;
Responsible for managing all functions and processes associated with contracts administration, including version control /risk management, client agreement negotiations and document development;
Assists with the preparation, recommendation, and execution of legal documents by analysing, drafting, negotiating, and reviewing these documents to ensure consistency with respect to the company’s philosophy and principles, manage risk and ensure commercial and legal soundness.
Position Requirements
Experience:
Experience with contract drafting and negotiation.Prior experience and knowledge of recruitment contracts, outsourcing, human resource outsourcing or business process outsourcing an advantage;Familiarity with data protection and privacy issues.
Education:
Bachelor’s degree with a contracts’ qualification highly desirable.Spanish as a second language desirable but not required.
